By using the Site you agree that you have read and accepted the Agreement, the Privacy Policy and the restrictions governing the use of the Site, and you consent to the collection, use and disclosure of your personal information as set out in the Privacy Policy. Site Privacy and Cookies
Portage’s personal information practices with respect to the Site are governed by the Privacy Policy.

To the fullest extent permitted by law, Portage (and its affiliates, agents or licensors and any of their respective directors, officers, employees, agents or other representatives) does not and shall not have any liability, whether in contract, tort, negligence, misrepresentation or otherwise, for any direct or indirect loss or damage caused, directly or indirectly, by your use of the Site or the information contained on the Site or provided to you pursuant to your use of the Site.

PORTAG3’S LIABILITY IS LIMITED EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF THE DAMAGES THAT YOU SUFFER OR IF ANY REMEDY YOU HAVE FAILS OF ITS ESSENTIAL PURPOSE. THIS DISCLAIMER OF LIABILITY APPLIES TO ANY AND ALL DAMAGES OR INJURY, INCLUDING THOSE CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF OR USE OF ANY ASSET, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR, NEGLIGENCE OR UNDER ANY OTHER CAUSE OF ACTION OR BASIS.
You shall be liable to Portage for any loss, liability or cost that Portage (or any of its affiliates and any of their respective directors, officers, employees, agents or other representatives) suffers as a result of your use of the Site or any breach of this Agreement, and in particular any warranties, representations or undertakings made, by you. You agree to indemnify, defend and hold harmless Portage and its affiliates, agents, employees and third party sources from and against any and all suits, losses, claims, demands, liabilities, damages, costs and expenses (including, without limitation, reasonable attorneys’ fees) that arise from or relate to: (a) your use of the Site; (b) your breach of this Agreement or any representation, warranty or covenant made by you in this Agreement; (c) your violation of any applicable law, statute, ordinance, regulation or of any third party’s rights, or (d) claims asserted by third parties which, if proven, would place you in breach of representations, warranties, covenants or other provisions contained in this Agreement.
Intellectual Property Rights and Ownership:
Unless stated otherwise, the information, materials, logos, images, software, text, graphics, charts, articles, reports, presentations and other materials contained in this Site are the property of Portage or its affiliates, portfolio companies or licensors, with all rights reserved. Portage and/or other Portage marks referred to on the Site are trademarks or service marks which belong to Portage and its affiliates. No visitor may use such trademarks or service marks or other devices without the prior written consent of Portage. Other product and company names reproduced on the Site may be the trademarks (registered or otherwise) of the respective owners, and all rights in the material on any other web sites which you may be able to link to from the Site may be owned by third parties, with all rights reserved by such parties.
You may not publish, broadcast, retransmit, reproduce, repackage, frame, commercially exploit, create any derivative of or otherwise redistribute all or any portion of the Site except as explicitly permitted in this Agreement.
As a visitor to the Site, you may view the Site and you are welcome to print minimal hard copies of material on it for your personal, non-commercial use. You may not remove any copyright, trademark or other proprietary notice or legend contained on (or printed from) the Site. Changes:
Portage reserves the right to make any changes to these terms and conditions at any time and it is your responsibility to check for any changes to these terms and conditions. You will be bound by revised versions of these terms and conditions that Portage posts on the Site. Modifications will be effective immediately upon posting unless we indicate otherwise.
Website Security:
You are prohibited from violating or attempting to violate the security of the Site, including, without limitation, (i) accessing data not intended for you or logging onto a server or an account which you are not authorized to access; (ii) disabling, removing, defeating, or avoiding any security device or system, including, without limitation, the password and log-in functionality used to authenticate users; (iii) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (iv) attempting to interfere with services to any user, host or network, including, without limitation, via means of submitting a virus to the Site, overloading, ‘flooding,’ ‘spamming,’ ‘mailbombing’ or ‘crashing;’ (v) sending unsolicited email, including promotions and/or advertising of products or services; (vi) forging any TCP/IP packet header or any part of the header information in any email or posting; (vii) using or attempting to use any engine, software, tool, agent or other device or mechanism (including without limitation browsers, spiders, robots, avatars or intelligent agents) to navigate or search the Site other than the search engine and search agents available on the Site and other than generally available third party web browsers; (viii) reverse engineering, decompiling or disassembling the underlying software; (ix) removing any notices, warnings, labels, annotations or instructions from any portion of the Site or any related material, including, without limitation, any patent, trademark, copyright, or other proprietary notices or license provisions; or (x) otherwise invading the privacy of, obtaining the identity of, or obtaining any personal information about any user of the Site.
Any violations of system or network security including attempts to intentionally access a computer without authorization or exceed your authorized access level may result in civil and criminal charges, including but not limited to charges under the Computer Fraud and Abuse Act (18 U.S.C. §1030). We may investigate occurrences that might involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations. We may, without prior notice or warning of any kind, restrict or terminate the access of any and all users of the Site if we reasonably conclude that such restriction or termination is necessary to prevent, or prevent the further spread of a virus, security breach or system malfunction.
Miscellaneous:
Portage reserves the right to change, suspend, or discontinue all or any part of the Site or its content at any time without prior notice or liability. If a competent court of law or authority finds that any part of these terms and conditions is invalid, unlawful or unenforceable to any extent, the remainder of these terms and conditions shall continue to be valid and enforceable to the fullest extent permitted by Canadian law.
This Agreement and the Privacy Policy constitutes the entire agreement between you and Portage relating to the public facing elements of the Site and your use of these portions of the Site, and supersedes any prior agreements or understandings not incorporated herein with regards to these portions. Certain restricted areas of the Site may require you to agree to supplemental terms and conditions. This Agreement is not intended to, and does not, modify or amend any other agreements you may have with Portage regarding other matters.
Portage reserves the right, in its sole discretion, to restrict, suspend, or terminate this Agreement (and/or your access to all or any part of this Site or any other Portage site or any content therein) and the Privacy Policy at any time and for any reason or no reason without notice or liability. Upon any termination of this Agreement you must promptly destroy all materials downloaded or otherwise obtained from the Site, as well as all copies of such materials, whether made under the Agreement or otherwise. If this Agreement is terminated, the following provisions shall survive: Accuracy of Information; Third Party References, External Sites; Warranties and Limitation of Liability; Intellectual Property Rights and Ownership; Submissions; Website Security; Miscellaneous.
These terms and conditions are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. The courts of Ontario shall have exclusive jurisdiction in relation to any dispute arising out of your use of the Site or arising from or connected with these terms and conditions and you hereby submit to the exclusive jurisdiction of the courts of Ontario, judicial district of Toronto.
